1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GoodLords (“GoodLords,” “we,” “us,” or “our”) governing your access to and use of the GoodLords website, platform, applications, and related services (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. Continued use of the Service after any change to these Terms constitutes your acceptance of the revised Terms.

2. Definitions

“Platform” means the GoodLords website, software, and systems. “Service” includes tenant referencing, verification checks, reports, referrals, and any related tools or features. “Report” means any verification or reference report generated via the Service. “Applicant” means any individual who is the subject of a verification or background check. “User” includes landlords, agents, applicants, and any person or entity using the Service.

3. Eligibility

You may use the Service only if you are at least 18 years of age, have the legal capacity to enter into a binding contract, and are not prohibited by applicable law from using the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Description of Service

GoodLords provides a platform for tenant referencing and verification, including identity checks, employment and income verification, Landlord references, guarantor verification, and related reporting. The Service is provided for informational and decision-support purposes only. We do not guarantee the accuracy, completeness, or timeliness of any information, report, or verification result. Verification results depend on information supplied by applicants, employers, landlords, and other third parties; we are not responsible for the accuracy of such third-party information. The Service may be modified, suspended, or discontinued in whole or in part at any time without notice or liability.

5. No Guarantee of Outcomes

Reports and verification results are advisory only. GoodLords does not guarantee that any applicant will or will not be a suitable tenant, that any tenancy will succeed, or that any decision you make based on the Service will produce any particular outcome. You are solely responsible for your rental, hiring, and business decisions. We are not liable for any loss or damage arising from your reliance on the Service or any report.

6. Account and Registration

You must provide accurate, current, and complete information when registering or using the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.

7. User Obligations and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Provide false, misleading, or inaccurate information;
Use the Service in violation of any applicable law or regulation;
Use the Service to harass, defame, or harm any person;
Copy, scrape, reverse engineer, or attempt to derive source code or data from the Platform;
Use the Service to circumvent or abuse verification or reporting processes;

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT, REPORTS, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DISCLAIM ALL RESPONSIBILITY FOR THE ACTIONS OF USERS, APPLICANTS, LANDLORDS, EMPLOYERS, AND OTHER THIRD PARTIES.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOODLORDS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY REPORT, OR ANY DECISION MADE IN RELIANCE ON THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GOODLORDS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED THOUSAND NAIRA (NGN 100,000). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10. Indemnification

You agree to indemnify, defend, and hold harmless GoodLords and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right, including intellectual property or privacy rights; (d) any content or information you submit or provide through the Service; (e) any dispute between you and any other user, applicant, or third party in connection with the Service or any report; and (f) any decision or action you take based on the Service or any report. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

11. Intellectual Property

The Platform, including its design, software, text, graphics, logos, and all content (other than user-provided content), is owned by GoodLords or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Platform or any report except as expressly permitted. All rights not granted herein are reserved.

12. Fees and Payment

Fees for the Service are as set out on our pricing page or as agreed in writing. You agree to pay all fees when due. Unless otherwise stated, fees are non-refundable. We may change our fees at any time; continued use after a fee change constitutes acceptance. You are responsible for any taxes applicable to your use of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for breach of these Terms. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including Disclaimers, Limitation of Liability, Indemnification, Governing Law, and General provisions) will survive termination. We have no obligation to retain your data after termination.

14. Modifications to the Service and Terms

We may modify the Service or these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be communicated by email or a notice on the Platform where practicable. Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such dispute.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines we publish on the Platform, constitute the entire agreement between you and GoodLords regarding the Service and supersede any prior agreements or understandings. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
